Terms & Conditions – Vehicle Purchase, Importation & Shipping to Nigeria
IMPORTANT: Please read these Terms & Conditions carefully before approving a vehicle or making payment
By engaging the services of Oyin of North America, approving a vehicle, or making any payment, the client acknowledges that they have read, understood, and agreed to these Terms & Conditions
1. Commitment Fee
A ₦1,000,000 commitment fee is required before vehicle sourcing and inspection can commence. The commitment fee forms part of the total vehicle purchase price. The commitment fee is refundable only where a suitable vehicle cannot be secured or where the transaction cannot proceed due to circumstances beyond the client's control. The commitment fee becomes non-refundable once:
- A suitable vehicle has been identified and approved by the client
- The client instructs Oyin of North America to proceed with the purchase; or
- The client delays, refuses, or fails to complete the required payment after approving a vehicle
2. SALVAGE/AUCTION VEHICLE RISK, CONDITION & LIMITATION OF LIABILITY
Oyin of North America acts primarily as a vehicle sourcing, purchasing, export, and shipping facilitator/intermediary between clients and third parties such as auction companies, dealerships, private sellers, transporters, warehouses, ports, terminals, and shipping lines.
Clients purchasing used, auction, rebuilt, or salvage vehicles acknowledge that these vehicles involve inherent risks and are generally purchased and sold on an “AS-IS, WHERE-IS” basis.
The client understands and accepts that:
- Used, auction, rebuilt, and salvage vehicles may contain visible or hidden defects.
- A vehicle may require additional repairs after purchase or after arriving at its destination.
- Photos, videos, auction descriptions, vehicle history reports, condition reports, and inspection information represent information available at the time and do not constitute a warranty or guarantee. Oyin of North America cannot guarantee that every defect, previous repair, missing component, or mechanical/electrical issue will be identified before purchase.
- A vehicle may arrive requiring additional mechanical repairs, electrical repairs, bodywork, glass replacement, tires, batteries, fluids, servicing, replacement parts, or other maintenance.
- Discovery of additional defects or required repairs after purchase or delivery does not automatically entitle the client to a refund, reimbursement, repair, replacement, or compensation from Oyin of North America.
“Run & Drive” Vehicles
Where a vehicle is advertised, represented, inspected, or sold as “Run & Drive,” this refers to its reported or observed condition at the relevant time.
“Run & Drive” is not a warranty or guarantee that the vehicle will remain in the same mechanical condition throughout transportation, loading, ocean shipping, customs clearance, delivery, or future use.
Risk After Leaving Our Custody
Once a vehicle leaves the custody or yard of Oyin of North America and is released to a transporter, carrier, warehouse, port, terminal, shipping line, or other independent third party, risk associated with subsequent transportation and handling passes to the client to the extent permitted by applicable law.
Oyin of North America shall not be responsible for new damage, deterioration, missing items, glass damage, mechanical or electrical problems, transportation-related issues, or other changes occurring after the vehicle has left our custody where caused by or occurring while under the control of an independent third party.
Where appropriate, Oyin of North America may assist the client in obtaining information or documentation from an auction, transporter, shipping company, port, or other third party. Such assistance does not constitute acceptance of liability by Oyin of North America.
By approving a vehicle and authorizing its purchase, the client confirms that they understand and voluntarily accept the risks associated with purchasing a used, auction, rebuilt, or salvage vehicle.
3. Vehicle Sourcing
Oyin of North America may source vehicles from auctions, dealerships, private sellers, and other vehicle marketplaces throughout Canada and the United States.
Available information may be provided to the client before purchase, including where available:
- Vehicle photographs
- Videos
- Auction information
- VIN
- Mileage
- Vehicle history reports
- Title information
- Condition information; and
- Inspection updates
The client is responsible for reviewing the information provided before approving the vehicle.
Once the client approves the vehicle and instructs Oyin of North America to purchase it, the client is deemed to have accepted the disclosed condition and associated risks.
4. Pricing & Cost Breakdown
Depending on the quotation provided, the vehicle price may include:
- Vehicle purchase price
- Auction or dealership fees
- Inland transportation
- Container loading; and
- Ocean freight
Unless specifically stated as included, additional charges may include:
- Customs duties
- Clearing costs
- Port handling charges
- Storage
- Demurrage
- Inspections
- Government charges
- Delivery charges; and
- Other destination-related expenses
5. Payment Terms
A commitment fee is required before vehicle sourcing begins.
Depending on the transaction, a deposit of approximately 30%–50% may be required to secure or purchase a vehicle.
The remaining balance must be paid according to the payment schedule communicated to the client. Clients should ensure that they have sufficient funds available to complete their transaction before approving a vehicle.
Failure to complete required payments may result in suspension, cancellation, or resale of the vehicle in accordance with these Terms.
6. Shipping & Estimated Delivery Time
Estimated shipping time is generally 4–8 weeks, but all shipping and arrival dates are estimates and are not guaranteed.
Delays may occur due to:
- Shipping-line schedules
- Vessel changes
- Weather
- Port congestion
- Customs procedures
- Inspections
- Government regulations
- Transportation delays; or
- Other circumstances outside the reasonable control of Oyin of North America
7. Third-Party Transporters & Shipping Companies
Oyin of North America may engage independent trucking companies, shipping lines, warehouses, ports, terminals, and other service providers to facilitate transportation and delivery.
These providers operate independently from Oyin of North America.
Where a problem occurs while a vehicle is under the custody or control of a third party, Oyin of North America may reasonably assist the client with available information and documentation but cannot guarantee the outcome of any third-party claim
8. Customs & Clearance in Nigeria
Unless expressly included in the client's quotation, customs duties, clearing charges, port charges, and other destination expenses are the responsibility of the client.
Oyin of North America may provide or arrange assistance with customs clearance and vehicle delivery where agreed.
Any customs or clearing amount provided before arrival may be an estimate and may change because of decisions or charges imposed by customs authorities, ports, government agencies, or other service providers.
9. No Warranty & Refund Policy
Used, auction, rebuilt, and salvage vehicles may require repairs, servicing, or maintenance.
Unless expressly provided in writing, Oyin of North America provides no mechanical warranty or guarantee beyond the information made available before purchase.
Once a vehicle has been purchased following the client's approval or authorization, the transaction generally cannot be cancelled simply because the client:
- Changes their mind
- No longer wants the vehicle
- Cannot complete the remaining payment; or
- Discovers additional repairs or maintenance requirements consistent with the risks of purchasing a used, auction, rebuilt, or salvage vehicle
Any refund eligibility will depend on the circumstances, expenses already incurred, and these Terms & Conditions.
10. Communication & Updates
Oyin of North America may provide clients with available transaction updates, including:
- Purchase confirmation
- Vehicle photos/videos
- Pickup information
- Loading information
- Container information
- Shipping information
- Bill of Lading information
- Arrival information; and
- Pickup/delivery information
Clients are responsible for maintaining accurate and active contact information and monitoring communications regarding their transaction.
11. Exchange Rate Disclaimer
Prices involving CAD, USD, or NGN may be affected by currency exchange-rate fluctuations.
Where currency conversion is required, the applicable exchange rate at the time payment is processed or as stated on the client's quotation/invoice will determine the amount payable.
12. Fraud & Payment Protection
Clients should make payments only through payment methods officially provided or approved by Oyin of North America.
Clients should verify unexpected changes to payment instructions through an official Oyin of North America communication channel before transferring funds.
Oyin of North America shall not be responsible for payments voluntarily sent to unauthorized persons or accounts that were not officially provided or confirmed by the company.
13. Storage & Vehicle Pickup
Clients are expected to arrange pickup or delivery promptly after receiving notification that their vehicle is available.
Failure to arrange pickup within seven (7) days after notification may result in applicable storage, demurrage, or other charges.
Vehicles remaining unpaid or unclaimed for an extended period may become subject to the default and resale provisions contained in these Terms, subject to applicable law.
14. Default in Payment & Vehicle Resale
Clients are required to make payments according to the agreed payment schedule.
If a client fails to make a required payment, unreasonably delays payment, or is unable to complete the outstanding balance, Oyin of North America reserves the right, subject to applicable law, to:
- Suspend further processing of the transaction
- Withhold shipment where reasonably possible
- Place the vehicle back on the market for resale
- Retain applicable non-refundable fees
- Recover expenses already incurred; and
- Deduct documented auction, transportation, shipping, storage, administrative, port, or other transaction-related expenses from any amount otherwise refundable to the client
The client's rights or interest in the vehicle remain subject to the applicable purchase agreement, invoice, payment status, and applicable law.
15. Limitation of Liability
To the extent permitted by applicable law, Oyin of North America's liability shall be limited to direct losses arising from services for which Oyin of North America is legally responsible.
Oyin of North America shall not be liable for indirect, incidental, or consequential losses resulting from circumstances outside its reasonable control or the actions of independent third-party service providers.
Nothing in these Terms is intended to exclude liability that cannot legally be excluded under applicable law.
16. Client Responsibility
Before approving a vehicle, the client is responsible for:
- Reviewing available vehicle information
- Understanding the condition/title status
- Understanding the risks associated with used, auction, rebuilt, or salvage vehicles
- Asking questions before authorizing the purchase; and
- Ensuring they have sufficient funds to complete the transaction
Clients should not approve a vehicle unless they are comfortable with its disclosed condition and the risks associated with the transaction.
17. Acceptance of Terms
By paying a commitment fee, deposit, installment, balance, shipping payment, or any other amount to Oyin of North America, the client confirms that:
- They have read and understood these Terms & Conditions
- They understand the risks associated with used, auction, rebuilt, and salvage vehicles
- They understand that additional defects or repair requirements may be discovered after purchase or delivery
- They understand that “Run & Drive” does not constitute a warranty
- They understand their payment obligations
- They have had the opportunity to ask questions before proceeding; and
- They voluntarily agree to be bound by these Terms & Conditions.
